Here's what it funds in Texas, a Texas deal, and what the state's 2025 law on merchant cash advances means for you.

A Texas deal
$350KFactoring in second position behind an SBA 7(a) loan, for a Texas trucking fleetClosed by Daniel · Published on LinkedInHow second position worksTexas law: a merchant cash advance is not factoring
In 2025, Texas passed HB 700, now Chapter 398 of the Finance Code. It regulates commercial sales-based financing: merchant cash advances and other financing you repay as a percentage of your sales or revenue. Providers and brokers have to register with the Office of Consumer Credit Commissioner (OCCC), and those already operating have until December 31, 2026. Offers under $1 million come with required disclosures.
If someone offers you sales-based financing in Texas, ask for its OCCC registration.
- The law says a sales-based financing deal "is not a form of an account purchase transaction", the category Texas law uses for buying accounts receivable, which is what factoring does.
- Providers and brokers can't set up automatic debits from your bank account unless they hold a first-priority perfected security interest in that account.
- The quick test: an MCA is repaid out of your sales. In factoring, your customers pay the invoices you sold.

Questions Texas owners ask me
Is 1st Commercial Credit a Texas company?
Yes. It's been headquartered in Austin since 2002 and has offices in Dallas, Houston and San Antonio.
Does my company have to be near one of those offices?
No. It funds companies anywhere in Texas.
I already have an SBA loan. Can I still factor?
Often, yes, if it's a term loan. That's how the $350K Texas fleet deal was done. See second position factoring.
How do I know if I'm being offered an MCA or factoring?
Ask how it's repaid. If it comes out of your sales or your bank account, it's sales-based financing. If your customers pay the invoices you sold, it's factoring. See factoring vs a merchant cash advance.
Who are your Texas customers?
Tell me your industry and how long your customers take to pay. I'll tell you if factoring makes sense for your company.
